These Terms & Conditions govern access to and use of the Hayth AI website and the services we provide, including custom software, AI systems, automation, integrations, and related engineering work.

By using our website or engaging Hayth AI, you agree to these Terms. If you do not agree, do not use the website or our services.

If we have a signed proposal, statement of work, or other written agreement with you, that written agreement controls wherever it conflicts with these Terms.

Acceptance of Terms

These Terms & Conditions ("Terms") apply to the Hayth AI website and to services Hayth AI provides. By accessing the website, submitting an inquiry, or engaging us for work, you accept these Terms.

If you are using the website or services on behalf of a company, you confirm that you have authority to bind that company, and "you" and "Client" refer to that company.

Definitions

In these Terms:

  • "Hayth AI", "we", "us", and "our" mean Hayth AI
  • "Client", "you", and "your" mean the person or company using the website or engaging our services
  • "Services" mean the work we provide, including AI automation, custom software, AI-powered applications, workflow automation, systems integration, AI agents, AI sales development systems, voice agents, and related support
  • "Website" means the Hayth AI website
  • "Client Materials" mean information, data, content, credentials, source code, and other materials you provide to us
  • "Deliverables" mean software, configurations, documentation, or other work product we create for you under an engagement

Services

Hayth AI designs and builds technology around a client's business. The specific scope of an engagement is defined in writing, such as a proposal, statement of work, or email confirmation.

Unless a written agreement says otherwise:

  • We provide professional services and custom work, not a one-size-fits-all product subscription
  • Timelines, features, and outcomes depend on the agreed scope, client input, access, and existing systems
  • We may use employees and contractors to perform the Services
  • We may make reasonable technical decisions needed to deliver the agreed work

We do not guarantee a particular business result, revenue increase, lead volume, conversion rate, or cost saving.

Client Responsibilities

You are responsible for providing the information, access, feedback, and decisions needed for us to perform the Services. This includes:

  • Accurate requirements, examples, and business context
  • Timely responses to questions and review requests
  • Lawful authority to share Client Materials with us
  • Any notices, consents, or legal bases required for your use case, including outreach, call recording, and processing of customer or prospect information where applicable
  • Your own accounts, permissions, backups, and internal approvals

Delays, missing access, or incomplete information may affect delivery. We are not responsible for delays caused by factors outside our control, including your systems, vendors, or delayed approvals.

Access, Credentials and Client Systems

Some engagements require access to your software, infrastructure, or accounts. You agree to provide only the access needed for the work and to tell us when that access should be changed or revoked.

  • You remain responsible for your own systems and for rotating credentials when your security process requires it
  • We use access and credentials only to perform the agreed Services
  • We may refuse to use unrestricted or unsafe access methods if a more limited option is available

Intellectual Property

Client Materials remain yours. You grant Hayth AI a limited license to use Client Materials solely as needed to provide the Services.

Unless a written agreement says otherwise:

  • Deliverables created specifically for you under a paid engagement are assigned to you upon full payment
  • Hayth AI retains rights to our pre-existing tools, libraries, templates, internal methods, and generic components
  • We may reuse our general knowledge, techniques, and non-confidential methods in other work

The Hayth AI name, logo, and website content are ours. You may not copy or use them except as allowed by these Terms or with our permission.

Confidentiality

Each party may receive non-public information from the other. Confidential information includes source code, credentials, system architecture, business processes, and project materials that are not already public.

Each party agrees to use the other party's confidential information only for the engagement and not to disclose it except:

  • To people who need it to perform the engagement
  • To service providers who support the work under confidentiality obligations
  • When required by law, regulation, or legal process
  • With the other party's permission

AI Systems and Automation

Some Services involve AI agents, automation, voice systems, or similar tools. These systems may generate content, take actions, or process information according to the configuration agreed for the engagement.

  • Outputs can be incomplete, incorrect, or unexpected
  • You are responsible for reviewing, supervising, and using outputs in your business
  • You are responsible for how the system is used with your customers, leads, and staff
  • We do not warrant that an AI system will be error-free, uninterrupted, or fit for every purpose

AI and automation tools assist a workflow. They do not replace your judgment, legal obligations, or operational control.

Fees and Payment

Fees, payment timing, and expenses are set out in the applicable proposal, statement of work, or invoice. If no separate payment terms are agreed in writing, invoices are due as stated on the invoice.

  • Work may be paused if amounts due remain unpaid
  • You are responsible for applicable taxes other than taxes on our income
  • Unless a written agreement says otherwise, fees are for the agreed scope and are not a guarantee of a particular result

Acceptable Use

You agree not to use the website or Services to:

  • Break the law or infringe anyone's rights
  • Attempt unauthorized access to systems, data, or accounts
  • Interfere with the website or Services
  • Submit unlawful, misleading, or harmful content
  • Use AI, outreach, or voice systems in a way that violates applicable law, including rules on spam, recording, or privacy

Third-Party Services

The website or a client system may connect to third-party products, such as CRMs, email, telephony, hosting, or cloud tools. Those products are governed by their own terms.

We are not responsible for third-party services we do not control, including outages, policy changes, pricing, or data handling by those providers.

Disclaimers

The website and Services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, Hayth AI disclaims all warranties that are not expressly stated in a written agreement, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the website or Services will be uninterrupted, error-free, or free of security vulnerabilities. We do not warrant that AI outputs, automations, or integrations will meet every expectation or produce a specific commercial outcome.

Limitation of Liability

To the fullest extent permitted by law, Hayth AI is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, lost data, or business interruption, even if we have been advised that such damages are possible.

To the fullest extent permitted by law, our total liability arising out of or related to the website or Services is limited to the amount you paid us for the specific Services giving rise to the claim. If you have not paid us, our total liability is limited to the maximum amount permitted by applicable law.

These limits do not apply where liability cannot be limited under applicable law.

Indemnification

You agree to indemnify and hold harmless Hayth AI from claims, losses, and reasonable costs arising out of:

  • Your use of the website or Services
  • Client Materials you provide
  • Your failure to obtain required consents or to comply with law
  • Your use of Deliverables or AI outputs in your business

Term and Termination

These Terms apply while you use the website or while an engagement is in effect. Either party may end an engagement as set out in the applicable written agreement. If no separate termination terms exist, either party may stop the engagement by written notice, subject to payment for Services already performed.

Upon ending an engagement, we may disable access we were given and retain records as described in our Privacy Policy or as required by law. Sections that by their nature should survive, including intellectual property, confidentiality, disclaimers, limitation of liability, and indemnification, will survive.

Privacy

How we collect, use, and protect information is described in our Privacy Policy. The Privacy Policy is part of how we handle information in connection with the website and Services.

Changes to These Terms

We may update these Terms from time to time. When we do, we will change the effective date on this page and post the updated Terms on the website.

The updated Terms apply from the effective date. Continued use of the website or Services after an update means you accept the revised Terms. Changes to an active paid engagement will not alter that engagement unless the parties agree in writing or the written agreement allows the change.
